Cosmicore operates a landowner-centered shareholding model, which is designed to ensure that the primary beneficiaries of our projects are the customary landowners whose resources are being developed.

Landowner Groups & Customary Landowners

  • Ownership & Equity Participation: Customary landowners are given the opportunity to own shares in the projects developed on their land. This ensures that they benefit directly from the financial returns generated by resource extraction, infrastructure development, and other economic activities associated with the projects.
  • Shares in Joint Ventures: Landowners are encouraged to participate in joint ventures with Cosmicore, which allows them to hold equity in the broader company and specific project ventures. This equity structure gives landowners a stake in the long-term success of the project, enabling them to share in both the risks and rewards of development.
  • Equity-Based Wealth Creation: Through the shareholding structure, landowners are positioned to create intergenerational wealth, ensuring that the next generation of customary landowners benefits from the resources on their land.
  • Distribution of Profits: The profits generated by resource projects are distributed among landowners according to their equity stake, ensuring that landowners receive a fair share of the returns in addition to receiving royalties from resource extraction.

Cosmicore’s Parent Company

  • Cosmicore Pty Ltd (Australia) retains a majority shareholding in the parent company. This ensures governance oversight, operational efficiency, and financial stability while giving local landowners significant participation and influence in the development and management of projects.
  • Cosmicore PNG Limited (the operational subsidiary) works closely with landowners and local stakeholders to facilitate the day-to-day management of projects, ensuring their alignment with local customs, laws, and community needs.

Strategic Investors

  • Partnership with Global Investors: Cosmicore is open to strategic investment from international partners who are aligned with our vision of sustainable resource development and community empowerment. Investors can participate through equity investment, joint ventures, or project financing.
  • Private Equity and Institutional Investors: Cosmicore offers equity stakes to private equity firms and institutional investors who wish to participate in large-scale infrastructure and resource development projects. These investors provide the capital necessary to drive development while benefiting from the financial returns associated with successful projects.

Public Listing Plans

  • Stock Exchange Listing (ASX & PNG): As part of Cosmicore’s long-term growth strategy, we are considering a public listing on the Australian Stock Exchange (ASX) and the Papua New Guinea Stock Exchange (PNGX). This will allow for a broader pool of investors to buy shares in the company, further capitalizing on the growth and opportunities in PNG’s resource sector.
  • Landowner Access to Public Shares: Once listed, we plan to offer customary landowners and local communities the opportunity to purchase additional shares, allowing them to increase their ownership stake and share in the company’s growth. This ensures that landowners remain stakeholders in the long-term success of the projects.

  • Every site plan will embed a shared ownership and governance framework with customary landowners through directorships, equity distribution, and management training.
  • Landowners will be transitioned from passive royalty recipients to active shareholders and operators.

  • Mining sites will include targets to build on-site training facilities or link to regional hubs for engineering, trades, and mining education.
  • Programs will focus on sending PNG youth to study in Australian TAFEs and technical colleges under Cosmicore scholarship pathways.
